1. Acceptance of Terms

By accessing or using the services provided by ZAINA LLC ("zainaSoft," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

zainaSoft provides professional software development services, including but not limited to:

• Web and mobile application development
• AI and automation solutions
• UI/UX design services
• Custom software development
• Quality assurance and testing
• Digital transformation consulting

3. User Obligations

You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials
• Use our services only for lawful purposes
• Not interfere with or disrupt our services
• Comply with all applicable laws and regulations

4. Project Scope and Deliverables

The specific scope of work, deliverables, timelines, and pricing will be defined in a separate Statement of Work (SOW) or project contract. These Terms of Service govern the general relationship between you and zainaSoft.

5. Payment Terms

5.1 Pricing

Pricing for services is as specified in your service plan or project contract. All prices are in US Dollars (USD) unless otherwise stated.

5.2 Payment Schedule

Payment terms will be specified in your contract. Late payments may incur interest charges and may result in suspension of services.

5.3 Refunds

Refund policies are project-specific and will be outlined in your contract. Generally, completed work is non-refundable.

6. Intellectual Property

6.1 Client Ownership

Upon full payment, you will own the custom code and deliverables created specifically for your project, excluding third-party components and our proprietary tools.

6.2 zainaSoft Property

We retain ownership of our methodologies, tools, templates, and any pre-existing intellectual property used in delivering services.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. We will not disclose your confidential information without your consent, except as required by law.

8. Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner. HOWEVER:

• Services are provided "AS IS" without warranties of any kind
• We do not guarantee uninterrupted or error-free service
• We are not liable for third-party services or content

9. Limitation of Liability

To the maximum extent permitted by law, zainaSoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the amount paid by you for services in the 12 months preceding the claim.

10. Termination

Either party may terminate the service agreement:

• With 30 days written notice
• Immediately for material breach
• Immediately if the other party becomes insolvent

Upon termination, you remain obligated to pay for all services rendered up to the termination date.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

12. Dispute Resolution

Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Albuquerque, New Mexico.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes. Continued use of our services after changes constitutes acceptance of the new Terms.
